US LLCFormation.
Your US company, registered properly the first time, in any of the 50 states, without travelling to the United States and without guesswork.
An LLC is the simplest way to own a real US company. Getting the state, structure and paperwork right at the start saves months of correction later.
A Limited Liability Company (LLC) keeps your personal assets separate from the business, is quick to set up, and is recognised by US banks, payment processors, marketplaces and clients. Most foreign founders and small international businesses choose it.
We handle the whole formation. We help you choose the state that fits your business model, check that your company name is available, prepare and file the Articles of Organization (called a Certificate of Formation in some states), appoint a registered agent, and draft the Operating Agreement that banks and partners will ask for.
You get a fully registered US company, its documents organised and ready, and a clear next step to your EIN and bank account.

- A preferred company name (plus one or two alternatives)
- Full legal name, nationality and residential address of each owner (member)
- A clear copy of each owner's passport
- A short description of your business activity
- Ownership percentages, if there is more than one member
- Your preferred state, or let us recommend one
Choosing the right state
The best state depends on where you operate, not on where taxes are said to be lowest. If you have a physical presence, employees or significant sales in a particular state, you may have to register there as well, even if you formed the company somewhere else.
- Wyoming: popular with non-resident founders; no state income tax
- Delaware: preferred by investors; specialised business court
- New Mexico: no annual report requirement for LLCs
- Florida / Texas: no state personal income tax; large domestic markets
- Kentucky: home state of our head office
Six states, compared.
| State | Often chosen for | Ongoing obligations | Consider if |
|---|---|---|---|
| Wyoming | Non-resident founders, online businesses | Annual report and fee | You run an online or remote business with no US premises |
| Delaware | Investor-backed startups | Annual LLC tax; registered agent | You plan to raise venture capital or convert to a C-Corp |
| New Mexico | Low-maintenance holding entities | No LLC annual report | You want minimal state paperwork |
| Florida | Consumer and service businesses | Annual report | You will trade or have customers in Florida |
| Texas | Trade, logistics, B2B | Annual franchise tax report | You will operate in Texas |
| Kentucky | Businesses operating in KY | Annual report | You will have premises or staff in Kentucky |
State fees and filing rules change, so all government fees are confirmed in writing before you pay. This table is general guidance, not legal or tax advice.
Questions,
answered.
Can a non-US citizen own a US LLC?
Yes. Most states let non-residents form and fully own an LLC. You don't need a US visa, a Social Security Number or a US address to register the company.
Do I need to visit the United States?
No. The formation, EIN application and digital bank account setup can all be completed remotely.
What is a registered agent and why do I need one?
Every state requires an LLC to name a registered agent with a physical address in that state, to receive official government and legal documents. Your first year of registered agent service is included.
Is an Operating Agreement legally required?
Only a few states require one, but banks, payment processors and partners routinely ask for it. It also protects owners by recording how the company is run, so we always prepare one.
How long does formation take?
Most states process filings within 5–7 business days. Some are faster and some slower, and expedited state processing is available in certain states for an extra state fee.
LLC or C-Corporation?
An LLC suits most service, e-commerce and trading businesses. A C-Corporation is usually better if you plan to raise venture capital or issue shares to investors. We'll explain the trade-offs during your consultation.
